David has extensive experience with technology start up companies, both legal and business. He has deep knowledge of trading and financial markets based on his role as CEO/General Counsel of a family office that owned and managed a large proprietary trading firm in Chicago. In addition, he has advised several other trading firms with respect to legal and tax structure issues, including international experience. He has worked with traders and the trading community for more than 20 years. He is extremely familiar with venture capital based deals and companies, having co-founded and managed a fund himself for more than 4 years. He has extensive experience with corporate formation, governance, compliance, SaaS models, mergers, acquisitions and equity incentive programs. He has a strong financial background that includes financial modeling, knowledge of GAAP, extensive review of financial statements, budget process, and cash flow analysis. David has been involved in several ICO projects and blockchain based business models. He is very familiar with the legal and business issues regarding these emerging concepts. He has an extensive network of lawyers, consultants, investors, entrepreneurs, C-suite executives, family offices and venture capital/private equity firms. David received his Juris Doctorate from the University of Wisconsin-Madison, Madison, Wisconsin in 1987, and his Bachelor of Arts in Economics and Management from Beloit College, Beloit, Wisconsin in 1984.
